Job Summary
Afreximbank has embarked on establishing Trade Centres in Global Africa (the “Afreximbank African Trade Centres” (AATCs). The AATCs are meant to provide a suite of trade services, trade finance and business facilities, to bridge the gap in trade and market information, in order to promote intra and extra-African trade, catalyse value addition and export manufacturing and contribute towards the positive economic transformation of the African continent. The Manager, African Trade Center Global (Legal & Corporate Services) is responsible for overseeing legal, regulatory compliance, corporate governance, and contractual matters for the African Trade Center (ATC) Global portfolio. The role ensures adherence to international trade laws, corporate policies, and risk management frameworks, while supporting commercial transactions, dispute resolution, and corporate structuring. The role plays a key role in setting up special purpose operating and property management vehicles in the ATCG operating locations.
The incumbent will work closely with internal stakeholders, external legal counsel, government agencies, and trade regulators to mitigate legal risks, ensure compliance, and enhance operational efficiency in ATC’s global operations.

Key Responsibilities
1. Legal Advisory & Compliance
- Provide legal counsel on contracts, trade agreements, corporate policies, and governance frameworks.
- Ensure compliance with international trade laws, regulatory requirements, and corporate governance best practices.
- Oversee the drafting, review, and negotiation of contracts, MoUs, and investment agreements.
- Develop and implement risk management strategies to mitigate legal and compliance risks.
- Handle regulatory filings, due diligence, and corporate legal documentation.
2. Corporate Governance & Dispute Resolution
- Ensure corporate governance structures align with international business and trade standards.
- Advise on board resolutions, shareholder agreements, and company secretarial matters.
- Oversee dispute resolution processes, including litigation, arbitration, and mediation.
- Work with external legal advisors to address corporate legal challenges and trade disputes.
3. Shareholder & Board Management – Corporate Secretary Duties
- Assist the CEO in managing the Shareholders General Assembly and Board activities, ensuring compliance with governance requirements.
- Serve as the Corporate Secretary, ensuring timely preparation and distribution of board materials, resolutions, and minutes.
- Organize and facilitate Board and Shareholder meetings, ensuring compliance with regulatory and governance requirements.
- Develop and maintain relationships with shareholders, board members, and key stakeholders, ensuring seamless communication and resolution of concerns.
- Maintain accurate records of shareholder resolutions, equity transactions, and governance documents.
- Support the CEO in preparing reports, policy recommendations, and governance updates for the Board and Shareholders.
4. Contract & Risk Management
- Oversee contract management processes, ensuring agreements are reviewed, approved, and executed in accordance with policies.
- Identify and mitigate legal risks in business transactions, partnerships, and operational activities.
- Conduct risk assessments in corporate, commercial, and operational contracts.
- Develop strategies to protect ATC Global’s intellectual property, trademarks, and legal assets.
5. Legal Support for Business Operations
- Provide legal assistance in real estate transactions, procurement, and vendor contracts.
- Advise human resources on employment law, labor disputes, and compliance with labor regulations.
- Provide legal guidance on international trade laws, investment policies, and cross-border transactions.
Qualifications & Experience
Education & Certifications
- Master’s degree in Law (LLM), Business Law, Corporate Governance, or a related field.
Professional Experience
- 10+ years of legal and corporate governance experience, preferably in trade, real estate, or international business.
- Strong expertise in contract law, international trade regulations, and dispute resolution.
- Experience in corporate structuring, compliance, and regulatory risk management.
- Proficiency in corporate secretarial functions, legal documentation, and board governance.
- Fluency in English (Proficiency in French or other African languages is an advantage).
